1. Your Agreement to These Terms

Welcome to Little Cuddly! These Terms of Use (“Terms”) govern your access to and use of our mobile applications, services, and websites (collectively, the “Services”). These Terms are a legally binding contract between you (the parent or legal guardian) and Baby Learn Online, Inc., on behalf of its subsidiary, Little Cuddly.

By downloading, installing, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms on behalf of yourself and the child who will be using the Services. If you do not agree to these Terms, you may not use our Services.

2. Who Can Use the Service

Our Services are designed for children under the age of 13. Use of our Services by children is only permitted with the express, verifiable consent of a parent or legal guardian.

  • Parents and Legal Guardians: You must be at least 18 years old to create an account and agree to these Terms on behalf of a child.
  • Parental Consent Required: A child under 13 may only use our Services after we have obtained verifiable parental consent in accordance with COPPA.
  • Account Creation: Children are not permitted to create their own accounts. All accounts must be created and managed by a parent or legal guardian.
  • Age Verification: We may use age-gating or other age-verification mechanisms to ensure compliance.

3. Parental Consent and Responsibility

As a parent or legal guardian, you are fully responsible for your child’s use of our Services. By providing consent, you agree to assume full responsibility for all activities conducted through your child’s account, provide verifiable consent as described in our Privacy Policy, and actively supervise your child’s use of the Services at all times. You may revoke consent at any time by contacting legal@littlecuddly.com.

4. Account Registration and Security

Account creation is restricted to parents and legal guardians. You agree to provide true, accurate, and complete information during registration, maintain the security of your account password, and not share your account credentials.

5. App Usage Rules (Acceptable Use)

You and your child agree not to engage in any unlawful purpose, bullying, harassment, hate speech, or harmful behavior; post obscene, defamatory, violent, or objectionable content; infringe on the intellectual property, privacy, or other rights of Little Cuddly or any third party; or introduce viruses or attempt unauthorized access to our systems.

6. Intellectual Property Rights

The Services, including all content, features, and functionality (software, text, graphics, logos, and trademarks), are owned by Baby Learn Online, Inc. and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use our applications for personal, non-commercial use.

7. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LITTLE CUDDLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

8. Paid Features and In-App Purchases

All purchases must be authorized by a parent or legal guardian through the applicable app store (Apple App Store or Google Play Store). Refund policies are governed by the terms of the app store provider.

9. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms. You may terminate your account at any time by contacting legal@littlecuddly.com. Upon termination, your child’s personal information will be deleted in accordance with our Privacy Policy.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding individual arbitration. Class action proceedings are waived.

11. COPPA Compliance Notice

Little Cuddly is fully committed to complying with the Children’s Online Privacy Protection Act (COPPA). We do not collect personal information from children without first obtaining verifiable parental consent. As a parent, you have the right to review, delete, and refuse further collection of your child’s information.

12. Changes to These Terms

We may modify these Terms from time to time and will notify you by posting the new Terms within our Services. For material changes affecting children’s personal information, we will provide direct notice and may require new consent.

13. Third-Party Services

Our Services are available through platforms like the Apple App Store and Google Play Store. Your use is also subject to those providers’ terms. We are not responsible for the practices of any third-party websites or services linked from our Services.

14. Indemnification

You agree to defend, indemnify, and hold harmless Little Cuddly, Baby Learn Online, Inc., and their officers, directors, employees, and agents from all claims arising from your or your child’s use of the Service or your violation of these Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Little Cuddly regarding our Services and supersede all prior agreements.

From Children (with Parental Consent):

  • Device Information: We may collect general information about your child’s device (OS type and version) to ensure our apps function correctly.

From Parents:

  • Parent’s Email Address: We collect a parent’s email address to provide direct notice of our information practices and obtain consent before collecting any personal information from a child.
  • Consent Verification Information: Depending on the consent method chosen, we may collect information to verify you are the parent (e.g., credit card transaction or government-issued ID, deleted immediately after verification).

3. How We Use the Information We Collect

Personal information collected from children is used exclusively for internal operations permitted by COPPA, including: maintaining or analyzing app functionality, performing network communications, authenticating users, protecting security and integrity, ensuring legal or regulatory compliance, and fulfilling one-time child requests (contact info deleted immediately after responding).

We will never use a child’s personal information for any other purpose.

4. Your Rights as a Parent Under COPPA

  • Direct Notice: The right to receive clear notice of our data collection practices before we collect any personal information from your child.
  • Verifiable Consent: We will not collect, use, or disclose personal information from your child without your verifiable parental consent.
  • Right to Review: The right to review the personal information we have collected from your child.
  • Right to Delete: The right to request deletion of any personal information collected from your child.
  • Right to Refuse: The right to revoke consent at any time and refuse further collection or use of your child’s information.

5. Verifiable Parental Consent Mechanisms

We use FTC-approved methods to obtain verifiable parental consent, which may include: credit card, debit card, or online payment verification; a signed consent form via mail, fax, or electronic scan; video conference with government-issued photo ID; or knowledge-based challenge questions.

These providers are contractually obligated to maintain confidentiality, security, and integrity of the personal information they process on our behalf. Persistent identifiers collected are used only for the internal operational purposes described in Section 3.

10. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. If we make a material change to our practices regarding the collection, use, or disclosure of children’s personal information, we will provide you with a new notice and request your consent. We will not apply material changes retroactively without your consent.
